These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you”, “your”, or “the user”) and FusionX Media Ltd, the owner and operator of the SmartFusionX platform (“SmartFusionX”, “we”, “us”, or “our”). These Terms govern your access to and use of our B2B marketing and sales software, tools, and related services (collectively, the “Platform”).

By registering for, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

1. Eligibility and Authority

You may only use the Platform if:

You are at least 18 years old;

You have the legal capacity to enter into contracts;

If you are accessing the Platform on behalf of a business or organisation, you are authorised to bind them to these Terms.

2. Use of the Platform

You agree to use the Platform solely for legitimate business purposes and in accordance with applicable laws and regulations.

You must not:

Use the Platform for any unlawful or prohibited activities;

Access or use the Platform to monitor its performance or to build a competing service;

Tamper with or attempt to circumvent Platform functionality or security features.

3. User Accounts and Security

To access specific features, you may be required to create a user account.

You agree to:

Keep your login credentials secure and confidential;

Be solely responsible for all activities occurring under your account;

Notify us immediately if you suspect unauthorised use of your account.

We reserve the right to suspend or terminate accounts that are misused or compromised.

4. Intellectual Property

All content, software, functionality, branding, and design associated with the Platform are the property of FusionX Media Ltd or its licensors.

You may not:

Copy, distribute, or modify any part of the Platform;

Reverse-engineer or attempt to extract the source code;

Use our name, logo, or branding without written consent.

5. Data Protection and Privacy

Your use of the Platform is subject to our Privacy Policy, which outlines how we handle your data.

You are responsible for:

Ensuring your own data processing practices comply with the UK GDPR and Data Protection Act 2018;

Obtaining appropriate consent from your clients and contacts whose personal data you process through the Platform.

We will not be liable for any breach of data protection laws arising from your misuse of the Platform.

6. AI Features and Acceptable Use

The Platform may include AI-powered tools to enhance productivity and automation.

By using these tools, you agree to:

Clearly disclose to end-users when AI-generated content, responses, or chatbots are used;

Avoid using AI for generating false, misleading, discriminatory, abusive, or harmful content;

Refrain from using AI features for regulated advice (e.g. legal, medical, or financial guidance) without appropriate qualifications and disclaimers.

FusionX Media Ltd reserves the right to restrict or revoke access to AI features in the event of misuse or violation of this policy.

7. Third-Party Integrations

SmartFusionX may offer integrations with third-party services and platforms.

You acknowledge and agree that:

These services are provided by independent providers, and your use of them is at your own risk;

We are not responsible for the availability, accuracy, or legal compliance of any third-party content or services;

You are solely responsible for managing and maintaining these integrations.

8. Communications Tools

The Platform may enable communication features such as SMS, email, or voice messaging.

You are responsible for:

Ensuring that all messages sent via the Platform comply with applicable marketing and communication laws (e.g. PECR, GDPR, UK consumer laws);

Obtaining the necessary consent from recipients.

We are not responsible for the content or delivery of your communications.

9. Fees and Billing

Some features of the Platform require a paid subscription. You agree that:

All fees are billed in GBP (£), unless otherwise specified;

Subscription charges are non-refundable unless otherwise stated or required by law;

Failure to pay may result in restricted access or termination of your account.

You are responsible for all applicable taxes related to your use of the Platform.

10. Limitation of Liability

To the fullest extent permitted by law, FusionX Media Ltd shall not be liable for:

Any indirect, incidental, or consequential loss or damage;

Loss of profits, business, or data arising from your use of the Platform.

Our total liability shall not exceed the total amount you paid for access to the Platform in the previous three (3) months.

11. Termination

We reserve the right to suspend or terminate your access to the Platform if:

You breach any provision of these Terms;Required by law or regulatory authorities;

You act in a way that places our business, systems, or users at risk.

Upon termination, your right to use the Platform will cease immediately.

12. Changes to Terms

We may update these Terms at any time. Updated Terms will be posted on our website with a new effective date. Your continued use of the Platform following any changes indicates your acceptance of the updated Terms.
